Starbloom Streaming Creator Monetization Agreement

This Creator Monetization Agreement ("Agreement") is entered into between Starbloom Streaming Inc., a Delaware corporation ("Starbloom," "we," "us," or "our"), and you ("Creator," "you," or "your"), and governs your participation in monetization features on the Starbloom Streaming platform (the "Platform"). This Agreement is incorporated by reference into and subject to the Starbloom Streaming Terms of Service ("ToS"), available at starbloomstreaming.com/legal/terms. Capitalized terms not defined in this Agreement have the meanings given to them in the ToS.

By applying for or activating a Creator Account, you agree to be bound by this Agreement.

1. Eligibility

1.1 Requirements

To participate in the Starbloom monetization program, you must:

(a) Be at least 18 years of age;

(b) Maintain a Platform account in good standing;

(c) Complete identity verification through our designated verification process;

(d) Submit valid tax documentation: IRS Form W-9 (for U.S. persons) or IRS Form W-8BEN or W-8BEN-E (for non-U.S. persons), as applicable;

(e) Provide valid payout information for at least one supported payout method (Section 5.3); and

(f) Agree to this Agreement and the ToS.

1.2 International Creators

Creators located outside the United States are eligible to participate, provided they comply with all applicable laws of their jurisdiction, complete required tax documentation, and use a supported payout method available in their country. You are solely responsible for compliance with local tax laws, content regulations, and any licensing or registration requirements applicable in your jurisdiction.

1.3 NSFW Section Creators

Creators who publish content in the NSFW Section must, in addition to the requirements in Section 1.1, complete enhanced identity verification and comply with the recordkeeping and consent requirements set forth in Section 7.5 of the ToS and Section 11 of this Agreement.

2. Non-Exclusive Relationship

2.1 Non-Exclusivity

This Agreement is non-exclusive. You are free to create, publish, stream, and monetize content on other platforms and through other channels. Starbloom does not restrict your ability to work with or earn revenue from third parties.

2.2 Independent Contractor

You are an independent contractor, not an employee, agent, or partner of Starbloom. Nothing in this Agreement creates an employment, partnership, joint venture, or agency relationship. You are solely responsible for your own taxes, insurance, and benefits. Starbloom will not withhold income taxes from your payouts except as required by law (see Section 6).

3. Monetization Features

3.1 Subscriptions

(a) Viewers may subscribe to your channel on a recurring monthly basis. You may offer up to five (5) customizable subscription tiers, with pricing set by you between a minimum of $2.00 USD and a maximum of $200.00 USD per tier per month.

(b) You define the perks and benefits for each subscription tier (e.g., custom badges, emotes, exclusive content, VOD access). You are solely responsible for delivering the perks you advertise for each tier. Failure to deliver advertised perks may result in subscriber refund requests and, in cases of repeated failure, suspension of your monetization privileges.

(c) Subscriptions are billed in real currency through the Platform's payment processor(s). Subscribers may cancel at any time; cancellation takes effect at the end of the current billing period.

3.2 Starcoin Tips and Gifts

(a) Viewers may send you Starcoins as tips on uploaded videos and VOD content, and as virtual gifts during livestreams.

(b) Starcoins received by you are converted to USD at a rate of 100 Starcoins = $1.00 USD for payout purposes. This conversion rate may be modified by Starbloom upon 60 days' prior written notice.

(c) Starcoins are available for use by viewers across all content tiers and the NSFW Section.

4. Revenue Sharing

4.1 Revenue Split

All monetization revenue is split 80% to the Creator and 20% to Starbloom. This applies to:

(a) Subscription revenue (based on the subscription price paid by the viewer);

(b) Starcoin tips and gifts (based on the USD conversion value at the time of receipt); and

(c) Any additional monetization features Starbloom may introduce, unless a different split is specified in writing.

4.2 Calculation

Your earnings are calculated as follows:

  • Subscription Earnings: (Subscription Price × 80%) per subscriber per billing cycle
  • Starcoin Earnings: (Starcoins Received ÷ 100) × 80% = USD earned

4.3 Modification of Revenue Split

Starbloom reserves the right to modify the revenue split upon 60 days' prior written notice to you. If you do not agree to the modified split, you may terminate this Agreement before the new split takes effect without forfeiting any earned revenue.

5. Payouts

5.1 Payout Schedule

You may choose one of the following payout options through your Creator dashboard:

(a) On-Demand: You request a payout at any time, subject to the minimum threshold in Section 5.2 and applicable processing times.

(b) Scheduled: You set a recurring payout frequency (weekly, bi-weekly, or monthly). Payouts are initiated automatically on your selected schedule, subject to the minimum threshold.

(c) Instant Payout: Where supported by Stripe Connect or PayPal, you may request an instant payout to an eligible debit card or bank account. Instant payouts are subject to additional processing fees charged by the applicable payment processor, which are deducted from the payout amount. Instant payout availability, eligible payout destinations, and applicable fees are displayed in your Creator dashboard and are determined by the payment processor's terms and geographic coverage.

5.2 Minimum Payout Threshold

The minimum payout amount is $10.00 USD. If your available balance is below the minimum threshold at the time of a scheduled payout or on-demand request, the payout will not be processed and your balance will carry forward.

5.3 Payout Methods

The following payout methods are available, subject to geographic availability:

(a) Direct bank deposit (ACH): Available to creators with a U.S. bank account. Processing time: typically 2 to 5 business days.

(b) Instant Payout via Stripe Connect: Available to creators with an eligible debit card or bank account in a supported country. Processing time: typically within minutes. Subject to additional Stripe instant payout fees, which are deducted from the payout amount and displayed at the time of the request.

(c) PayPal: Available worldwide where PayPal operates. Processing time: typically 1 to 3 business days.

(d) PayPal Instant Transfer: Available to creators with an eligible debit card or bank account linked to their PayPal account, in supported countries. Processing time: typically within minutes. Subject to additional PayPal instant transfer fees, which are deducted from the payout amount and displayed at the time of the request.

(e) Wire transfer: Available worldwide. Processing time: typically 3 to 7 business days.

Starbloom processes payouts through Stripe Connect and PayPal. By selecting a payout method, you agree to the applicable terms of the relevant payment processor.

5.4 Processing Fees

Third-party processing fees charged by payment processors (Stripe, PayPal, or wire transfer fees) are deducted from your payout amount. Starbloom does not add its own fees on top of processor fees. Current processing fees are displayed in your Creator dashboard and may change based on the payment processor's pricing. You are responsible for reviewing applicable fees before selecting a payout method.

5.5 NSFW Section Holdback

Revenue earned from content published in the NSFW Section is subject to a 48-hour hold from the time the revenue is earned before it becomes available for payout. This hold allows Starbloom to conduct content compliance review. Revenue that passes review is released to your available balance after the hold period. Revenue from content that is removed during the hold period for violation of the ToS or applicable law will not be released.

5.6 Currency

All payouts are denominated in U.S. dollars (USD). If your payout method delivers funds in a different currency, the conversion is handled by the payment processor at its prevailing exchange rate. Starbloom is not responsible for exchange rate fluctuations or currency conversion fees imposed by your bank or payment processor.

5.7 Payout Errors

If you believe a payout amount is incorrect, you must notify Starbloom within 90 days of the payout date by contacting support at starbloomstreaming.com/help or through our Discord. Starbloom will review the dispute and respond within 30 days. If an error is confirmed, Starbloom will issue a corrective payment in the next available payout cycle. Failure to report a discrepancy within 90 days constitutes acceptance of the payout as accurate.

5.8 Creator Spending Card

Starbloom intends to offer eligible Creators a Starbloom Creator Spending Card (the "Creator Card"), a payment card linked to your Creator earnings balance. The Creator Card will allow you to spend your available earnings directly, without initiating a separate payout. The Creator Card program will be governed by the Creator Card Terms, which will be made available to eligible Creators through the Creator dashboard when the program launches.

The Creator Card is issued by a third-party financial institution and is subject to that institution's cardholder agreement, privacy policy, and applicable banking regulations. Starbloom is not the card issuer and does not provide banking services.

Key terms, including eligibility requirements, fees, spending limits, and geographic availability, will be set forth in the Creator Card Terms. Starbloom will provide at least 30 days' notice before the Creator Card enrollment window opens. Until the program launches, this Section 5.8 describes Starbloom's intended framework and does not confer any current right to a Creator Card.

6. Taxes

6.1 Tax Documentation

You must provide valid tax documentation before your first payout and update it promptly if your information changes. Required forms:

(a) U.S. Persons: IRS Form W-9

(b) Non-U.S. Persons: IRS Form W-8BEN (individuals) or W-8BEN-E (entities)

6.2 Tax Reporting

For U.S. Creators: Starbloom will issue an IRS Form 1099-NEC (or other applicable form) for each calendar year in which your gross earnings exceed the applicable IRS reporting threshold. Forms will be issued by January 31 of the following year.

For non-U.S. Creators: Starbloom will withhold U.S. federal tax at the applicable rate under the Internal Revenue Code and any applicable tax treaty. If you have submitted a valid W-8BEN or W-8BEN-E claiming treaty benefits, the reduced treaty rate will apply. If you have not submitted valid tax documentation, Starbloom will withhold at the default statutory rate (currently 30%).

6.3 Creator Responsibility

You are solely responsible for reporting and paying all taxes owed on your earnings from the Platform, including federal, state, local, and foreign income taxes, self-employment taxes, VAT, GST, or other applicable taxes. Starbloom does not provide tax advice. You should consult a qualified tax professional regarding your obligations.

7. Chargebacks and Fraud

7.1 Subscription Chargebacks

If a subscriber's payment for your channel is charged back by their bank or payment processor, the chargeback amount (including the creator's 80% share) will be deducted from your available balance. If your balance is insufficient to cover the deduction, the negative balance will be carried forward and offset against future earnings. Starbloom will make reasonable efforts to dispute chargebacks on your behalf but does not guarantee the outcome.

7.2 Starcoin Chargebacks

Chargebacks on Starcoin purchases are absorbed by Starbloom. If a viewer's Starcoin purchase is charged back, Starbloom will not deduct the corresponding tip or gift value from your balance, provided you were not involved in or aware of the fraudulent transaction.

7.3 Fraud

If Starbloom determines that earnings in your account resulted from fraudulent activity, including self-tipping, coordinated manipulation, use of stolen payment methods, or exploitation of platform vulnerabilities, Starbloom may: (a) freeze your pending payouts during investigation; (b) deduct fraudulent amounts from your balance; (c) suspend or terminate your Creator Account; and (d) report the activity to law enforcement. A determination of fraud is made at Starbloom's reasonable discretion based on available evidence.

8. Content Ownership and Licensing

8.1 Creator Ownership

You retain full ownership of all content you create and publish on the Platform ("Creator Content"). Nothing in this Agreement transfers ownership of your Creator Content to Starbloom.

8.2 Platform License

By publishing Creator Content on the Platform, you grant Starbloom the license described in Section 5.2 of the ToS: a non-exclusive, worldwide, royalty-free license to use, reproduce, distribute, display, perform, and create derivative works of your Creator Content solely for the purposes of operating, promoting, and improving the Platform. Starbloom may sublicense the foregoing rights solely to its service providers and contractors to the extent necessary to operate and maintain the Platform, but may not sublicense or transfer the license to any other third party without your prior written consent. This license continues for the duration your content remains on the Platform and for a reasonable period thereafter to accommodate caching, archival, and backup systems.

8.3 Marketing and Promotion

Starbloom will not use your name, likeness, voice, or Creator Content in external marketing, advertising, or promotional materials without your prior written approval for each specific use. This includes social media advertisements, press releases, app store screenshots, and third-party campaigns. Internal platform promotion (e.g., featuring your content on the Starbloom homepage, recommendation feeds, or category pages) does not require separate approval and is covered by the license in Section 8.2.

8.4 Separate Content Agreements

Starbloom and individual Creators may enter into separate written agreements for specific content licensing, publicity, or advertising arrangements. Any such agreements will be negotiated individually and will not modify this Agreement except to the extent expressly stated therein.

9. Content Removal and Account Deletion

9.1 Content Removal by Creator

You may remove any of your Creator Content from the Platform at any time through your Creator dashboard. Removed content will be taken down within a reasonable timeframe, subject to caching and backup system delays. Removal of content does not affect earnings already accrued from that content.

9.2 Account Deletion by Creator

You may delete your Creator Account at any time. Upon initiating account deletion:

(a) You will have a 60-day grace period during which you may download your Creator Content through the Platform's export tools.

(b) After the 60-day grace period, your Creator Content will be permanently deleted from the Platform.

(c) Any earned, unpaid revenue at the time of deletion will be paid out in accordance with this Agreement's payout terms, provided your balance meets the minimum payout threshold. If your balance is below the threshold, Starbloom will issue a final payout regardless of the threshold amount within 90 days of account deletion.

(d) Starbloom does not retain any license to your Creator Content after it is deleted from the Platform, unless a separate written agreement under Section 8.4 provides otherwise.

9.3 Effect of Account Downgrade

If you convert your Creator Account to a Viewer Account, the same process in Section 9.2 applies to your monetization features and Creator Content published in the Adult tier and NSFW Section. Content published in the General and Mature tiers will remain on the Platform under the Viewer Account, subject to the ToS.

10. Creator Earnings Dashboard

10.1 Dashboard Access

Starbloom provides each Creator with access to a Creator dashboard displaying:

(a) Real-time earnings from subscriptions, Starcoin tips, and gifts;

(b) Payout history, including amounts, dates, and processing status;

(c) Current available balance and any pending holds;

(d) Subscriber count and subscription tier breakdowns;

(e) Starcoin receipt history; and

(f) Tax document status and download access.

10.2 Reporting Accuracy

Starbloom uses commercially reasonable efforts to ensure the accuracy of earnings data displayed in the Creator dashboard. Dashboard data is updated in near real-time but may experience delays of up to 24 hours. The dashboard is the authoritative record of your earnings, subject to correction under Section 5.7.

11. NSFW Section: Additional Creator Requirements

11.1 Enhanced Identity Verification

Before publishing content in the NSFW Section, you must complete enhanced identity verification, which may include submission of a government-issued photo ID and a live selfie or video verification, as determined by Starbloom or its verification provider.

11.2 Age Records for Depicted Individuals

You must maintain records establishing that every identifiable individual depicted in your NSFW content is at least 18 years of age at the time of content creation. These records must include:

(a) A legible copy of a government-issued photo ID for each depicted individual;

(b) The legal name, date of birth, and any stage names or aliases used by each depicted individual; and

(c) Signed consent documentation from each depicted individual authorizing their appearance in the content and its publication on the Platform.

These records must be maintained for the duration your content remains on the Platform and for a minimum of seven (7) years after the content is removed or your account is deleted, in accordance with 18 U.S.C. § 2257 and 28 C.F.R. Part 75.

11.3 Compliance Inspection

Starbloom reserves the right to request copies of the records described in Section 11.2 at any time to verify compliance. Failure to produce requested records within 10 business days may result in removal of your NSFW content and suspension of NSFW monetization privileges.

11.4 Prohibited NSFW Content

In addition to the prohibitions in Section 4.2 of the ToS, the following content is prohibited in the NSFW Section:

(a) Content depicting any individual under 18 years of age;

(b) Content depicting nonconsensual sexual activity, whether real or simulated;

(c) Content depicting sexual activity involving animals;

(d) Content that violates the consent or privacy rights of any depicted individual; and

(e) Content that Starbloom determines, in its reasonable discretion, to depict or promote illegal activity.

12. Suspension and Termination

12.1 Suspension

Starbloom may suspend your monetization privileges (including freezing payouts) at any time if Starbloom reasonably believes that: (a) you have violated this Agreement or the ToS; (b) your account is involved in fraudulent activity; (c) your content is the subject of a legal complaint, law enforcement inquiry, or active investigation; or (d) suspension is necessary to protect Starbloom, its users, or third parties. Starbloom will notify you of the suspension and the reason for it within a reasonable timeframe, except where disclosure would compromise an investigation or violate a legal obligation.

12.2 Termination by Creator

You may terminate this Agreement at any time by converting your Creator Account to a Viewer Account or by deleting your account. The content and payout provisions in Section 9 apply.

12.3 Termination by Starbloom

Starbloom may terminate this Agreement and your Creator Account at any time for any reason upon 30 days' prior notice, or immediately if you have violated this Agreement, the ToS, or applicable law.

12.4 Effect on Earned Revenue

(a) Standard termination (by either party for any non-prohibited reason): All earned, unpaid revenue will be paid out in accordance with this Agreement's payout terms within 90 days of termination.

(b) Termination for fraud or illegal activity: If Starbloom terminates this Agreement because it determines, in its reasonable discretion, that you engaged in fraud, illegal activity, or activity that poses a serious risk of harm, all unpaid revenue is forfeited. Starbloom may also pursue recovery of previously paid amounts obtained through fraud.

12.5 Survival

Sections 2.2 (Independent Contractor), 6 (Taxes), 7 (Chargebacks and Fraud), 8.1 (Creator Ownership), 11.2 (Age Records for Depicted Individuals), 13.6 (No Employment Relationship), and 15 (General Provisions) survive termination of this Agreement.

13. Creator Health Benefits Program

13.1 Program Overview

Starbloom offers eligible Creators access to health insurance coverage through the Starbloom Creator Health Benefits Program (the "Health Benefits Program"). The Health Benefits Program is administered separately from this Agreement and is governed by the Creator Health Benefits Program Guide, which will be made available to eligible Creators through the Creator dashboard.

13.2 Eligibility

To be eligible for the Health Benefits Program, a Creator must:

(a) Maintain an active Creator Account in good standing;

(b) Earn a minimum of $2,500.00 USD in gross monthly earnings (before application of the revenue split) for three (3) consecutive calendar months; and

(c) Maintain valid tax documentation on file with Starbloom.

Eligibility is assessed automatically based on earnings data in Starbloom's systems. Creators who meet the threshold will be notified through the Creator dashboard and via email.

13.3 Coverage Options

Eligible Creators may enroll in individual or family coverage plans through the Health Benefits Program. Available plans, coverage levels, provider networks, and enrollment periods are determined by Starbloom's insurance partner(s) and are described in the Creator Health Benefits Program Guide.

13.4 Premium Subsidy

Starbloom will subsidize a portion of the monthly health insurance premium for eligible Creators. The subsidy amount, which may vary by plan type and coverage level, is set forth in the Creator Health Benefits Program Guide. The Creator is responsible for paying the remaining balance of the premium. The subsidy is a discretionary benefit, not compensation or wages, and does not create an employment relationship.

13.5 Loss of Eligibility

If your gross monthly earnings fall below the $2,500.00 USD threshold, the following applies:

(a) You will not lose eligibility based on a single month below the threshold. Eligibility is re-evaluated on a rolling three-month average basis.

(b) If your rolling three-month average gross earnings fall below $2,500.00 USD, Starbloom will notify you of pending loss of eligibility.

(c) Your coverage (including the premium subsidy) will continue through the end of the current enrollment period (monthly or quarterly, as specified in the Creator Health Benefits Program Guide).

(d) If you regain eligibility within 12 months of losing it, you may re-enroll during the next available enrollment window without a new waiting period.

13.6 No Employment Relationship

The Health Benefits Program is a voluntary Creator benefit. Participation in the program does not create an employment relationship, entitle you to employee benefits under any Starbloom employee benefit plan, or alter the independent contractor relationship described in Section 2.2 of this Agreement. The premium subsidy is not subject to payroll tax withholding; you are responsible for any tax obligations arising from receipt of the subsidy.

13.7 Program Modification and Termination

Starbloom reserves the right to modify, suspend, or terminate the Health Benefits Program at any time upon 90 days' prior notice to enrolled Creators. In the event of program termination, coverage under existing plans will continue through the end of the current enrollment period.

13.8 Program Launch

The Health Benefits Program will be available to eligible Creators on a date to be announced. Starbloom will provide at least 30 days' notice before the enrollment window opens. Until the program launches, this Section 13 describes Starbloom's intended framework and does not confer any current right to coverage or subsidy.

14. Creator Code of Conduct

14.1 Professional Standards

As a monetizing Creator on the Platform, you are expected to:

(a) Treat viewers, subscribers, and other Creators with respect;

(b) Accurately represent the content and perks available through your channel and subscription tiers;

(c) Respond to subscriber inquiries regarding their subscription perks within a reasonable timeframe;

(d) Not engage in deceptive practices to inflate earnings, including artificial viewership, fake engagement, or misleading promotional claims; and

(e) Comply with all applicable advertising disclosure laws, including FTC guidelines, when promoting products, services, or paid partnerships in your content.

14.2 Sponsored Content Disclosure

If you receive compensation, free products, or other consideration from a third party in connection with content you publish on the Platform, you must clearly and conspicuously disclose the material relationship in accordance with applicable law, including the FTC's Endorsement Guides. Starbloom may require you to use a designated sponsorship tag or label provided by the Platform.

15. General Provisions

15.1 Relationship to ToS

This Agreement supplements and is subject to the ToS. In the event of a conflict between this Agreement and the ToS, this Agreement controls with respect to monetization-specific matters; the ToS controls in all other respects.

15.2 Modification

Starbloom may modify this Agreement upon 30 days' prior notice to you. Notice will be provided via email to the address associated with your Creator Account and/or through the Creator dashboard. Your continued participation in the monetization program after the effective date of a modification constitutes acceptance. If you do not agree to a modification, you may terminate this Agreement before the modification takes effect. For the avoidance of doubt, the 80/20 revenue split set forth in Section 4.1 may not be modified through this Section 15.2; any change to the revenue split requires a separate written agreement under Section 4.3.

15.3 Entire Agreement

This Agreement, together with the ToS, Privacy Policy, Community Guidelines, Creator Health Benefits Program Guide (when available), and Creator Card Terms (when available), constitutes the entire agreement between you and Starbloom with respect to your participation in the monetization program, unless supplemented by a separate written agreement under Section 8.4.

15.4 Governing Law and Dispute Resolution

This Agreement is governed by Delaware law and subject to the dispute resolution provisions in Section 13 of the ToS, including binding arbitration and the class action waiver.

15.5 Notices

Notices under this Agreement may be sent by Starbloom via email to the address on your Creator Account, through the Creator dashboard, or by the methods specified in Section 16.5 of the ToS. You may send notices to:

15.6 Assignment

You may not assign this Agreement or any rights or obligations under it without Starbloom's prior written consent. Starbloom may assign this Agreement without restriction.

15.7 Severability

If any provision of this Agreement is found to be unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
